\nVampire Facelift\u00ae<\/p>\n
IMPORTANT: PLEASE READ THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT (\u201cLICENSE AGREEMENT\u201d) CAREFULLY BEFORE USING THE TRADEMARK(S) (AS SET OUT BELOW). AMERICAN COSMETIC CELLULAR MEDICINE ASSOCIATION (\u201cACCMA\u201d) IS WILLING TO LICENSE THE TRADEMARK(S) TO YOU AS THE INDIVIDUAL, THE COMPANY, OR THE LEGAL ENTITY THAT WILL BE UTILIZING THE TRADEMARK(S) (REFERENCED BELOW AS \u201cYOU\u201d OR \u201cYOUR\u201d) ONLY ON THE CONDITION THAT YOU ACCEPT ALL OF THE TERMS OF THIS LICENSE AGREEMENT. THIS IS A LEGAL AND ENFORCEABLE CONTRACT BETWEEN YOU AND ACCMA. BY CLICKING THE \u201cI AGREE\u201d OR \u201cYES\u201d BUTTON OR OTHERWISE INDICATING ASSENT ELECTRONICALLY, YOU AGREE TO THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, CLICK THE \u201cCANCEL\u201d OR \u201cNO\u201d OR \u201cCLOSE WINDOW\u201d BUTTON OR OTHERWISE INDICATE REFUSAL, AND MAKE NO FURTHER USE OF THE TRADEMARK(S).<\/p>\n
1. License:
\nThe License Agreement set out below governs your use of the Trademark(s) O-Shot\u00ae, Priapus Shot\u00ae, Vampire Facelift\u00ae, Vampire Facial\u00ae, and Vampire Breast Lift\u00ae (\"Trademark(s)\"). The Trademark(s) are registered to ACCMA and are protected by trademark law. Although ACCMA continues to own the Trademark(s), after Your acceptance of this License Agreement, You will have certain rights to use the Trademark(s) during the Licensing Period (as defined below). All rights not expressly granted to You are retained by ACCMA.<\/p>\n
The \u201cLicensing Fee(s)\u201d for the Trademark(s) are as follows:
\nO-Shot\u00ae $97.00 per month;
\nPriapus Shot\u00ae $97.00 per month; and,
\nVampire Facelift\u00ae, & Vampire Breast Lift\u00ae $47.00 per month.
\nVampire Facial\u00ae $47 per month (or $97 total for both Vampire Procedures & Breast Lift)<\/p>\n
The \u201cLicensing Period\u201d shall begin on the date of Your initial use of the Trademark(s), or the date you have accepted this License Agreement. You will not pay a Licensing Fee for the first three (3) months of Your Licensing Period. If You have more than one (1) office location, You must pay a separate Licensing Fee for each office location. The Licensing Period shall be ongoing month to month until terminated by You or ACCMA. You may terminate the Licensing Period at any time without penalty so long as You cease and desist using the Trademark(s).<\/p>\n
2. Rights and Obligations:
\nYour rights and obligations under this License Agreement with respect to the use of these
\nTrademark(s) are as follows.
\nDuring the Licensing Period:
\nYou may use the Trademark(s) for so long as You pay the Licensing Fee(s) and follow accepted ACCMA protocols; and.
\nYou will be listed as a licensed provider on the ACCMA website.
\nYou understand and agree to the following:
\nthat You may not teach the trademarked procedures;
\nthat if You quit paying the Licensing Fee(s) and continue to use the Trademark(s), You will pay ACCMA $50,000 per infringement;
\nthat You will pay ACCMA $50,000.00 as liquidated damages for Your infringement on the Trademark(s); and,
\nthat You will pay all costs of litigation, including attorney\u2019s fees and court costs, for Your infringement on the Trademark(s).<\/p>\n
3. Modifications:
\nACCMA reserves the right at any time to modify this Agreement and to impose new or additional terms or conditions on your use of the trademark(s). Such modifications and additional terms and conditions will be effective immediately and incorporated into this Agreement. Your continued use of the trademark(s) will be deemed acceptance thereof. You agree to such updated terms.<\/p>\n
4. Applicable Law:
\nThis Agreement shall be governed by, and construed and enforced in accordance with, the substantive laws of the State of Nevada, without regard to its principles of conflicts of laws, and shall be deemed to be effective as of the first day of my licensing any of the Trademark(s) from ACCMA.<\/p>\n
5. Venue:
\nYou consent to the exclusive jurisdiction and venue of the federal and state courts located in Mobile County, Alabama in any action arising out of or relating to this Agreement. You specifically waive any other venue to which You might be entitled by domicile or otherwise.<\/p>\n
6. Integration:
\nThis Agreement constitutes the entire and only agreement between You and ACCMA and respecting the subject matter hereof, and supersedes all prior agreements and understandings, oral or written, between You and ACCMA concerning this subject matter. No modification, amendment, waiver or termination of this Agreement shall be binding unless made in writing and signed by an authorized officer of ACCMA. Failure of ACCMA to insist upon strict compliance with any of the terms or conditions of this Agreement shall not be deemed a waiver of these terms or conditions. In the event of any inconsistency between this Agreement and any other contract between You and ACCMA, the provisions of this Agreement shall prevail.<\/p>\n","protected":false},"excerpt":{"rendered":"
